I’ve written before about how L2s subsidizing adoption through partner L2s is a losing strategy.

The market is saturated, and there isn’t enough demand from the current user base to justify yet another L2.

The only way this works is if you land a high-profile partner with a crypto-receptive user base.

@RobinhoodApp is the only real candidate that comes to mind, but paying existing crypto projects like Ronin to adopt your stack is a losing bet IMO.

“美股上链”是这周市场最大的热点。Robinhood 在欧洲上线股票代币化服务，而 xStocks 也同步登陆 Kraken、Bybit；Solana DEX 与 Arbitrum 生态开始挂出 AAPLx、TSLAx 等交易对，股票代币化这样一套新的 narrative 迅速铺开。
但如果你只看到热度，还没看懂结构，那你可能就成为了这场叙事中的韭菜。
在我看来，股票代币化本质上不是“发一个 token”，而是链上金融的一次 stress test：
Web3 世界是否真的能承载主流金融资产的发行、交易、定价与赎回？
不是热度，是一次链上金融的结构性压力测试
从我的角度来说，我们的行业叙事是不断循环发展的。最早在 2019 年，Binance 和 FTX 都曾尝试代币化美股，但最终都被监管叫停。Mirror Protocol 用合成资产模拟美股价格，也随着 Terra 崩盘和 SEC 监管一同夭折。这并不是一个新的东西，只是当时行业发展还没有很成熟。
而今天的股票代币化，不是草莽试验，而是由 Robinhood、Backed Finance 等持牌机构主导的合规路径。这是关键的分水岭。
以 Robinhood 为例，它这次在欧洲推出的股票代币化服务，走的是一种前所未有的“券商自营 + 链上发行”闭环路径。
他们不是简单在链上挂个价格，而由 Robinhood 自行在欧盟持牌、购买美股实股、在链上发行 1: 1 映射的代币。从托管、发行，到清结算、用户交互，全流程打通，交易体验基本接近证券账户 + 钱包合体。
前期他们把这些代币部署在 Arbitrum 上，以确保链上交易的速度和成本可控，后面还打算迁到自建的 Robinhood Chain，等于整个 infra 也要自己掌握。
虽然投票权还不能开放，因为要避开治理类监管，但整体结构已经能看出雏形：它像在结构层面建立起一个几乎可独立运行的“链上证券交易系统”。
对加密行业来说，这是第一次看到一家传统互联网券商，不只是在发行端拥有自主权，更是在资产的链上结构上进行了一次解构。
从草莽试验到合规闭环
这一轮股票代币化热起来，和我之前重复的观点一样，其实不是一件偶然的事。本质上是几个核心变量在同一个时间点发生了共振。所谓的天时地利人和，大概就是如此。
首先，有监管层面的松动，以及方向的明确。比如欧洲的 MiCA 已经正式落地，美国 SEC 也不再一味开锤，开始释放一些“可以谈、可以做”的信号。
Robinhood 能够这么快在欧盟上线股票代币服务，背后靠的是它在立陶宛拿到的证券牌照；xStocks 能被 Kraken 和 Bybit 同时接入，也离不开它在瑞士和泽西岛搭建的合规结构。
同时，由于链上的资金也确实在找新的资产出口，场内资金的结构变了。传统金融市场和 Crypto 非 MEME 的市场之间的 Gap 只会越来越小。
放眼现在，链上一堆没有基本面、却顶着超高 FDV 的项目，流动性堆在那儿没地方去，稳健点的资金也开始找“有锚、有逻辑”的资产配置出口。这时候，Robinhood、xStocks 这些正规军带着合规结构和交易体验进来，股票代币也就有了吸引力。它熟悉、稳，有叙事空间，也能挂上稳定币和 DeFi。
TradFi 和 Crypto 的结合已经走得越来越深。从 BlackRock 到摩根大通，从瑞银到 MAS，传统金融巨头已经不是站在旁边观望了，而是真的在搭链、跑试点、下场做基础设施。而股票作为最主流、最具认知度的资产，显然会成为代币化的优先选择。
传统资产上链，是加密的机遇，还是项目的威胁？
Jiayi 主观观点：
往后看，股票代币化大概率不会是一条爆炸性增长的曲线，但它有可能成为 Web3 世界里，一条极具韧性的基础设施演进路径。
这个叙事的意义，在于它撬动了两个重要的结构变化：一是资产边界开始真正向链上迁移，二是传统金融体系愿意用链上方式来组织一部分交易与托管流程。这两件事，一旦建立，就是不可逆的。
那么，股票跑来抢 Crypto 项目流动性，到底是好是坏？
在我看来，这是一把典型的双刃剑。它带来了更高质量的资产，但也会潜移默化改写链上资金的流向结构。
从正面看：
1. 传统金融的“蓝筹资产”进场，让链上资金有了新的去处，也为“稳健资产”的配置增添了一些选择。在一个 narrative 轮动太快、资金长期游移的市场里，这类结构清晰、有现实锚点的资产，其实是在帮流动性重新找回“该往哪配、能往哪配”的基本坐标。
2.同时这也会带来“鲶鱼效应”。美股代币化这种强叙事资产一上来，整个链上的 benchmark 就被抬高了，这必然会推着Web3 项目的整体质量开始往上走 。就让垃圾项目被市场淘汰吧，心里话。
3.Crypto 玩家可以 Cypto Native 形式直接购买股票，减少了美股对 Crypto 大池子的流动性吸血
但反过来看：
1.它也会让加密原生项目感受到压力。不仅仅是 narrative 被抢，链上的资金结构、用户偏好，也会被慢慢重塑。尤其是当代币化股票流动性起来，开始跑 perp、借贷、组合配置时，它会直接和原生资产争夺稳定币流量、主流用户和链上的注意力。
2.对项目方来说：融资会变难。当链上的资产池里出现了 AAPLx、TSLAx、未来可能还有 OpenAI 或 SpaceX 的 代币化私募股权。投资人和用户对于“什么值得投”、“什么有定价锚”这件事的直觉判断就会发生迁移。
股票代币化让我们重新思考：Web3 到底是不是一个能承载主流资产与真实交易行为的系统？我们能不能用开放式的金融结构，去重建一套比传统市场更低摩擦、更高透明度的证券系统？
